Vodafone Idea To Acquire 26 Percent Stake In Aditya Birla Renewables SPV 3

Vodafone Idea Limited has signed binding Purchase and Power Purchase Agreements on 12 August 2025 to acquire a 26 percent equity stake in Aditya Birla Renewables SPV 3 Limited. The renewable energy special purpose vehicle has been established to own and operate a captive power plant.

SPV 3 was incorporated on 21 November 2024 and has an authorised share capital of ₹6.50 crore. It has a paid up equity of ₹1 lakh spread across 10,000 shares of ₹10 each. At present, the entity has no turnover.

The cost of acquiring the stake is set at ₹1.56 crore. Vodafone Idea will invest this amount in one or more tranches over a period of about six months. Vodafone Idea’s Audit Committee and Board have already approved the acquisition. It has also been classified as a Related Party Transaction and has received all required approvals.

Vodafone Idea acquisition aims to meet regulatory requirements under the Electricity Act 2003 and the Indian Electricity Rules 2005 for captive power generation. Another key objective is to ensure cost effective renewable energy for the company’s operations.

The transaction is expected to be completed within six months and will take place in multiple phases.
