GMR Power and Urban Infra Limited sets up renewable energy subsidiary in Karnataka

GMR Power and Urban Infra Limited has incorporated a new wholly owned subsidiary to strengthen its renewable energy footprint in Karnataka. The company informed stock exchanges about the formation of GMR Karnataka Renewable Energy-I Limited (GKREL) through its subsidiary, GMR Energy Limited.

The new entity was incorporated on February 28, 2026. It has been established to develop renewable energy power plants in Karnataka, aligning with the group’s clean energy strategy.

  • Incorporation Date: February 28, 2026
  • Paid-up Capital: Rs. 5 lakh
  • Share Capital: 50,000 equity shares of Rs. 10 each
  • Ownership: 100% held by GMR Energy Limited
  • Business Focus: Renewable energy development in Karnataka

The incorporation was completed through subscription to the Memorandum of Association. GMR Energy Limited, a wholly owned subsidiary of GMR Power and Urban Infra Limited, holds full ownership of GKREL. As a result, GMR Power and Urban Infra Limited remains the ultimate parent company.

GKREL will operate in the renewable energy sector, focusing on power generation and transmission through renewable resources. Its primary objective is to develop renewable energy projects in Karnataka, supporting the group’s expansion in sustainable infrastructure.

The company clarified that the incorporation does not qualify as a related party transaction. No government or regulatory approvals were required for setting up the subsidiary. Promoter group companies do not hold any interest in the new entity other than indirect shareholding through the existing corporate structure.

GMR Karnataka Renewable Energy-I Limited has not yet commenced business operations and currently maintains its registered office in India. The move reflects GMR Power and Urban Infra Limited’s continued focus on strengthening its renewable energy portfolio in key Indian markets.
